Hier leest u de spelregels voor een heldere en succesvolle samenwerking. Bij Cleaning Legion staan we voor transparantie en duidelijke afspraken, zodat u precies weet waar u aan toe bent.
- GENERAL PROVISIONS
1. These terms and conditions apply to all offers, agreements, and the execution thereof with or by Cleaning Legion BV. The offers and agreements are governed exclusively by these terms and conditions. Deviations are only valid if agreed upon in writing with Cleaning Legion BV. The counterparty's terms and conditions shall not apply and are hereby expressly rejected.
2. In these terms and conditions and the offers and agreements, the following terms shall be understood as follows:
Client / counterparty: any (legal) person who has concluded, or wishes to conclude, an agreement with Cleaning Legion BV and/or for whom work is performed, and, in addition to this, their representative(s), authorized agent(s), legal successor(s), and heirs.
Work: all work – cleaning work and/or other business services – for which an offer has been made, for which an order has been placed, or which arises from the order, or is related thereto, all this in the broadest sense of the word.
Work programme: a form or other data carrier on which Cleaning Legion BV has indicated a work description, if possible with an indication of their nature, location, time, and frequency.
Object: the item to be kept clean ((part of a) building, ship, bus, train, sanitary facilities, etc.).
Intellectual property: in any case, methods, designs, and advice.
3. If any provision of these terms and conditions is void or is annulled, the remaining provisions shall remain in full force and effect.
In such a case, the void or annulled provision shall be replaced by a valid provision that corresponds as closely as possible to the intent of the invalid provision. - OFFERS
1. All offers made by Cleaning Legion BV, in whatever form, are without obligation, unless expressly stated otherwise.
2. Any estimates, plans, or other documents accompanying an offer remain the property of Cleaning Legion BV and must be returned to Cleaning Legion BV upon first request. It is not permitted to reproduce these items or to make them available for inspection by third parties.
3. The sending of offers and/or (other) documentation does not oblige Cleaning Legion BV to accept an assignment. This applies even after the client has indicated that they wish to award the assignment under those conditions. If Cleaning Legion BV does not accept an assignment, it shall notify the other party thereof as soon as possible.
4. If the other party does not wish to make use of the services of Cleaning Legion BV, the latter is entitled to charge the costs associated with the offer that were specifically incurred for the other party. - AGREEMENT
1. An agreement is concluded when the Client notifies Cleaning Legion BV that it wishes to award the contract based on the offer submitted by Cleaning Legion BV, and Cleaning Legion BV subsequently accepts this contract by means of a written order confirmation, or when the parties sign an agreement to that effect. An agreement is also concluded when Cleaning Legion BV has commenced the execution of the work. However, this does not affect Cleaning Legion BV's right to amend its offer (quotation) in writing no later than 14 days before the commencement of the work. If the Client does not object to this amendment in writing within a period of eight days, the agreement is concluded on the basis of the amended offer.
2. The content of the agreement is fully determined by the offer (quotation) from Cleaning Legion BV and, insofar as included therein, the work description. Deviations therefrom are only legally valid if they have been accepted in writing by Cleaning Legion BV.
3. For transactions for which, due to their nature and scope, no quotation or order confirmation is sent, the invoice shall be deemed to accurately and fully reflect the agreement, subject to any complaints within 3 working days after the invoice date.
4. The agreement is entered into for an indefinite period, unless it follows from the nature and purport of the agreement that it has been entered into for a definite period. - DURATION AND TERMINATION / CANCELLATION OF AGREEMENTS
1. Unless expressly agreed otherwise or unless the nature of the agreement indicates a one-off character, all agreements have a duration of 12 months. This duration commences at the moment Cleaning Legion BV starts the work.
2. Subject to termination as referred to below, the agreement shall be extended, whether explicitly or implicitly, for a period of 12 months after the expiry of the term.
3. Unless expressly agreed otherwise, termination of the agreement may only take place at the end of the term. Termination may only take place in writing by registered letter. The Client must observe a notice period of three months in this regard, such that notice of termination must be given no later than three months before the end of the term.
4. Nevertheless, each party is entitled to terminate the agreement in writing in the event that the other party, after written notice of default, remains negligent in performing or performing properly within a reasonable period specified therein, or if the other party dies or is placed under guardianship, is declared bankrupt, obtains (provisional) suspension of payments, or if the debt restructuring scheme under the Debt Restructuring Act for Natural Persons is declared applicable to it.
5. When the Client makes changes to the object that is the subject of the agreement, for example through renovation or relocation, this shall not affect the agreement existing between the parties. The object no longer being available due to the actions or omissions of the Client shall be at the Client's risk. In such a case, the parties shall jointly seek a solution, whereby Cleaning Legion BV must be restored to at least the same situation as before the change. - EXECUTION
1. The agreement will be executed by Cleaning Legion BV to the best of its knowledge and ability. Unless expressly agreed otherwise, the work to be performed by Cleaning Legion BV constitutes an obligation of best effort.
2. Cleaning Legion BV is entitled to modify the work or its execution in minor respects without any price adjustment taking place in this regard. Cleaning Legion BV shall ensure that, even after the modification, a result is achieved equal to or comparable with what is included in the work program.
3. Unless expressly agreed otherwise, work will only be performed on working days. Cleaning Legion BV determines by how many and by which employees the work will be performed. The Client cannot assert any rights in this regard. Cleaning Legion BV may charge a surcharge for work outside regular hours or on Sundays and/or public holidays. In addition, Cleaning Legion BV will not perform work on Carnival Monday and Tuesday; if the Client wishes otherwise, this must be indicated in advance, and the work will be performed, if possible, on a cost-plus basis.
4. If the Client is of the opinion that the work performed by Cleaning Legion BV does not conform to what has been agreed, he must notify Cleaning Legion BV thereof in writing without delay. In doing so, he must specify the deviation observed by him, indicating the nature and severity, as well as the time and location. The Client must then grant Cleaning Legion BV a reasonable period of at least five days to rectify the observed deviation. Failing this, the Client cannot derive any rights from the observed deviation.
5. Unless expressly stipulated otherwise, Cleaning Legion BV has the right to have (part of) the work performed by third parties.
6. The Counterparty shall ensure that all information which Cleaning Legion BV indicates is necessary, or which the Counterparty ought reasonably to understand is necessary for the execution of the agreement, is provided to Cleaning Legion BV in a timely manner. If the information required for the execution of the agreement is not provided to Cleaning Legion BV in a timely manner, Cleaning Legion BV has the right to suspend the execution of the agreement and/or to charge the additional costs arising from the delay to the Counterparty at the customary rates.
7. Cleaning Legion BV is not liable for damage of any nature whatsoever caused by Cleaning Legion BV relying on incorrect and/or incomplete information provided by the Counterparty.
8. Cleaning Legion BV or third parties engaged by Cleaning Legion BV are not liable for costs arising from the operation or incorrect operation of the alarm system installed in the premises of the Counterparty, nor for the costs of the alarm service, control room, police, fire brigade, ambulance, key holder, etc.
9. If work is performed by Cleaning Legion BV or third parties engaged by Cleaning Legion BV in the context of the assignment at the location of the Counterparty or at a location designated by the Counterparty, the Counterparty shall provide, free of charge, the facilities reasonably desired or required by those employees.
10. The Client shall ensure that Cleaning Legion BV and its engaged employees and/or third parties can carry out their work safely. - CONTRACT ASSIGNMENT
1. If Cleaning Legion BV assumes a project from a third party on behalf of the Counterparty, in which employees of the third party are involved in the project in question, the Counterparty must inform Cleaning Legion BV of the level of wage costs, working hours, employment conditions, and personal data of the employees concerned. To this end, the Counterparty must provide Cleaning Legion BV with written supporting documents.
2. If the employment conditions or wage costs of these employees deviate upwards from the customary rates and conditions of Cleaning Legion BV or from the Collective Labour Agreement for the Cleaning Industry, the Counterparty must reimburse Cleaning Legion BV for the difference. Cleaning Legion BV is entitled to invoice this difference separately to the Counterparty.
3. The Counterparty cannot hold Cleaning Legion BV liable for damage of any kind whatsoever caused by the assumed employees, nor does Cleaning Legion BV guarantee the quality and execution of the agreed work performed by the assumed employees to which Cleaning Legion BV is bound by the assumption. - PRICES AND PAYMENT
1. Unless stated otherwise, the prices of Cleaning Legion BV are in euros, excluding VAT, other taxes, levies, and duties.
2. In the event of an increase in one or more cost price factors, Cleaning Legion BV is entitled to increase the order price accordingly.
3. Cleaning Legion BV is entitled to request an advance payment from the Client, which must be settled before the commencement of the work. The advance payment amounts in principle to 20% of the agreed price. In the case of a long-term agreement, 20% of the agreed annual price or total price. The Client is obliged to pay this advance invoice prior to the commencement of the work; failing which, Cleaning Legion BV is entitled to suspend the agreed work until the advance payment has been settled.
4. The fee of Cleaning Legion BV is calculated on the basis of the work performed by Cleaning Legion BV for the benefit of the other party, whereby the assignment is to be qualified as an obligation of best effort.
5. The fee may be increased by invoices and disbursements from third parties engaged, and will be charged to the Counterparty per period, per month, per quarter, per year, or upon termination of the work.
6. Payment must be made in the manner indicated by Cleaning Legion BV and within the period stipulated by Cleaning Legion BV for this purpose, but in any event no later than 30 days after the invoice date. The Counterparty is not entitled to suspension and/or set-off.
7. If the Client fails to comply with this, it shall be in default by operation of law. In that case, the Client shall owe Cleaning Legion BV the statutory commercial interest in addition to the principal amount. In that case, the Client shall also owe Cleaning Legion BV the costs it incurs to effect collection. The extrajudicial collection costs shall then amount to at least 15% of the invoice amount.
8. All payments made by the Counterparty shall apply primarily to the satisfaction of any interest and collection costs incurred by Cleaning Legion BV, and subsequently to the satisfaction of the oldest outstanding invoices. - FORCE MAJEURE
1. If Cleaning Legion BV is unable to perform the agreed work, or can only perform it partially, as a result of force majeure on the part of the Client, and this force majeure is temporary in nature, the Client shall remain liable to pay Cleaning Legion BV the agreed price for the full work, for a maximum period of three months. In the event of temporary force majeure, Cleaning Legion BV is entitled to suspend the execution of the agreement until the circumstance constituting the force majeure no longer exists.
2. After the expiration of the three-month period referred to above, if the force majeure on the part of the Client persists, the parties shall consult with each other regarding the adjustment of the agreement. If, in the opinion of Cleaning Legion BV, the force majeure situation is of a permanent nature, the parties may reach an agreement regarding the dissolution of the agreement and the consequences associated therewith.
3. Cleaning Legion BV is entitled to demand payment for the services performed in the execution of the relevant agreement prior to the occurrence of the circumstance causing the force majeure.
4. If the Client finds itself in a force majeure situation, the Client must notify Cleaning Legion BV thereof in writing without delay, but no later than within five working days, failing which the Client shall not be entitled to invoke force majeure.
5. In the event that Cleaning Legion BV finds itself in a force majeure situation, the Client shall not be entitled to any compensation whatsoever. In such a case, Cleaning Legion BV shall have the choice to make up for or perform the work that could not be carried out as a result of the force majeure after the force majeure has ended, or to discontinue performing it. In the latter case, such work will be deducted from the total price. - INTELLECTUAL PROPERTY
If Cleaning Legion BV uses or has used intellectual property in the preparation or execution of the assignment, the intellectual property rights vested therein pursuant to the Law shall belong to Cleaning Legion BV without reservation. The Counterparty is not permitted to reproduce, disclose, exploit, or make available these products to third parties without the permission of Cleaning Legion BV.
The Counterparty guarantees Cleaning Legion BV at all times that the use of data provided by it, or otherwise, will not bring Cleaning Legion BV into conflict with statutory regulations or protected rights of third parties. Furthermore, it fully indemnifies Cleaning Legion BV against all direct and indirect consequences of claims that third parties may assert against Cleaning Legion BV on account of a breach of this guarantee. - LIABILITY
1. For all direct damage suffered by the counterparty, which is in any way related to the failure of Cleaning Legion BV to fulfill its obligations under the assignment, the liability of Cleaning Legion BV is limited to the amount of the agreed total price for the relevant work, but in any event to the amount for which Cleaning Legion BV is insured in this regard. In the event that the agreement concerns the periodic performance of work or the provision of services, the total price is understood to mean the amount corresponding to the duration of the agreement, up to a maximum of 12 months.
2. Cleaning Legion BV is not liable for indirect damage of any nature whatsoever related to the (improper) execution of the work, insofar as such liability is not mandatorily regulated by law, or is the result of intent or gross negligence on the part of Cleaning Legion BV. At all times, the liability of Cleaning Legion BV is limited to the amount charged for the work from which the damage arose, but in any event to the amount for which Cleaning Legion BV is insured in this regard.
3. The counterparty indemnifies Cleaning Legion BV against all claims which are in any way related to the execution of the assignment.
4. The Client is fully liable for all damage suffered by Cleaning Legion BV during the execution of the agreed work as a result of a shortcoming or unlawful conduct attributable to the Client. Any limitation of this liability in any manner whatsoever shall not be legally valid between the parties.
5. The Client is prohibited from employing employees of Cleaning Legion BV, or engaging them in any other way, directly or indirectly, to perform work for the benefit of the Client, during the term of their employment contract between the Client and Cleaning Legion BV, as well as for a period of 6 months thereafter. In the event of a violation, the Client shall forfeit a fine of € 2,500 per violation, to be increased by € 100 for each day that such violation continues. The fine accrues to Cleaning Legion BV, without prejudice to its right to performance or full compensation. - COMPLAINTS
1. The Client is obliged to inspect the work performed by Cleaning Legion BV upon completion or delivery.
2. Any complaint will only be processed by Cleaning Legion BV if it reaches Cleaning Legion BV in writing within 7 days after completion and/or delivery of the work to which the complaint relates, or, if the alleged defect could not have been discovered earlier, within 7 days after discovery of this defect.
3. Complaints regarding invoices must also be submitted in writing within 14 days of the invoice date.
4. After the expiry of these periods, the counterparty is deemed to have approved the work, or the invoice, respectively. Complaints made thereafter will not be processed by Cleaning Legion BV.
5. If the complaint is found to be justified by Cleaning Legion BV, Cleaning Legion BV is solely obliged to perform the agreed work.
6. Only if and to the extent that the complaint is found to be justified does this suspend the counterparty's payment obligation until the moment the complaint has been settled. This, however, applies only to the work to which the advertisement relates. - RIGHT OF SUSPENSION
Cleaning Legion BV is entitled to suspend the further performance of its obligations until such time as the other party has fully met its (due) obligation. - PROPERTY OF THE COUNTERPARTY AND THIRD PARTIES
Regarding the safekeeping and use, handling and processing of items entrusted to Cleaning Legion BV by or on behalf of the Counterparty, it shall exercise due care. All items belonging to the Counterparty remain at Cleaning Legion BV at its risk, for which the Counterparty may, if desired, take out insurance itself. - RIGHT OF RETENTION
Cleaning Legion BV is at all times entitled to retain any property it holds from the Counterparty under any title until the Counterparty has paid all amounts owed to it or has provided sufficient security for such payment. If Cleaning Legion BV finds it compelled to exercise its right of retention, it is also entitled to charge the Counterparty all associated costs, including storage costs. - APPLICABLE LAW
All agreements between Cleaning Legion BV and its counterparty are governed exclusively by Dutch law. - DISPUTES
1. All disputes, including those considered as such by only one party, arising from or relating to the agreement to which these terms and conditions apply or the relevant terms and conditions themselves and their interpretation or execution, whether of a factual or legal nature, shall be settled by the competent civil court within whose jurisdiction the registered office of Cleaning Legion BV is situated, unless the sub-district court has jurisdiction.
2. Cleaning Legion BV is nevertheless entitled to have the dispute settled by arbitration, in which case it shall notify the other party thereof in writing. If the other party is a consumer, it shall have one month to express its preference for settlement by the civil court, in which case the matter shall be submitted to the civil court.
3. In the event that the dispute is settled by arbitration, this shall be done by the Arbitration Board for the Cleaning and Business Services Sector, in accordance with the regulations drawn up by it. - AMENDMENTS TO GENERAL TERMS AND CONDITIONS
1. Cleaning Legion BV is entitled to amend these general terms and conditions during the term of the agreement, as well as upon the extension of the agreement. In that case, it shall send the amended general terms and conditions to the Client in writing.
2. If the Client does not object in writing to the applicability of the amended general terms and conditions within three weeks of receipt thereof, the new terms and conditions shall be deemed to apply to the agreement or the extended agreement. If the Client does object within this period, the previously applicable terms and conditions shall remain in full force and effect. Such an objection shall not affect the term and/or extension of the agreement.

- Immediate intervention in case of peak load or malfunctions
